HOW TO ENTER: NO PURCHASE IS NECESSARY TO PLAY, ENTER OR WIN. The entry period for the Merita SEC Basketball Tournament Sweepstakes (the “Sweepstakes”) begins at 9:00 a.m. Eastern Time ("ET") on December 20, 2010 and ends at 11:59 p.m. ET on March 31, 2011 (the "Entry Period"). Online Entry: To enter, access www.meritabreads.com and follow the on-screen entry instructions to submit an entry during the Entry Period. Entries must be completed and submitted by 11:59 p.m. ET on March 31, 2011. All eligible entries completed and submitted by 11:59 p.m. ET on March 31, 2011 will be included in the drawing for the First Prize. Eligible entries that are completed and submitted by 11:59 p.m. ET on February 18, 2011 will also be included in the drawing for the Grand Prize. Alliance Agency’s (the "Administrator") computer is the official time keeping device for this Sweepstakes. Mail-In Entry: To enter by mail, hand print on a 3" x 5" card your full name, complete street address, day and evening telephone numbers, date of birth and e-mail address. Mail your entry with proper first-class postage affixed to Alliance, Att'n: "Merita Southern Classic Sweepstakes" 200 Fifth Avenue, 4th floor, New York, NY 10017. Vermont residents may omit return postage. Mailed entries must be received by the last day of the entry period for the applicable Entry Period (i.e., by February 18, 2011 for entries considered for Grand Prize and by March 31, 2011 for entries considered for First Prize). The Grand Prize drawing will take place on or about February 21, 2011. Normal time rates, if any, charged by Internet service provider will apply. There is a limit of one (1) Sweepstakes entry per person and per e-mail address. No purchase is necessary. 2. ELIGIBILITY: This Sweepstakes is open only to individuals who are legal residents of the fifty (50) United States and the District of Columbia, 18 years of age or older as of the date of entry. Employees of IBC Sales Corporation (“Sponsor”), its subsidiaries, affiliates, distributors, and advertising, promotion and Internet agencies, and their immediate family and household members, are not eligible. Void where prohibited by law. In the event of a dispute regarding any entry, the entry will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry (i.e., the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address). 3. WINNER SELECTION: The Grand Prize winner will be selected in a random drawing conducted by Sponsor, whose decisions are final with respect to all matters relating to this Sweepstakes, on or about February 21, 2011 from among all eligible entries received as of 11:59 p.m. ET on February 18, 2011. The First Prize winner will be selected in random drawing conducted by Sponsor on or about April 11, 2011 from among all eligible entries received during the Entry Period. Entries submitted after 11:59 p.m. ET on February 18, 2011 and by 11:59 p.m. ET on March 31, 2011 will be eligible for the First Prize drawing, but will not be included in the Grand Prize drawing. To be included in the drawing for the Grand Prize, you must enter by 11:59 p.m. ET on February 18, 2011. The odds of winning depend on the number of eligible entries received with respect to each drawing. The potential winners may be notified by mail, telephone and/or e-mail, at Sponsor's discretion. If a potential winner cannot be reached within forty-eight (48) hours of initial notification attempt, he or she may be disqualified and the prize awarded to an alternate winner. Winners are subject to verification. The potential winners may, in Sponsor’s discretion, be required to complete and return to Sponsor an Affidavit of Eligibility/Release of Liability, and, if legally permissible, a Publicity Release within three (3) days of attempted delivery of same. If a potential winner is a minor under the laws of his or her state of residency, the prize may be awarded in the name of the winner's parent or legal guardian, who must complete any required Affidavit/Release. If a prize winner is a minor, the prize winner’s guest on the prize trip must be the prize winner’s parent or legal guardian. If a potential winner fails to respond to any notification attempt within the time period specified by Sponsor, or if any attempted notification or prize delivery is returned as undeliverable, or if a potential winner fails to complete and return any required affidavit or release within the specified time period, the potential winner will be disqualified and an alternate winner selected. PRIZES: One (1) Grand Prize and one (1) First Prize will be awarded. Grand Prize: The Grand Prize is a trip for the winner and one (1) guest to attend the Southeastern Conference ("SEC") Men’s Basketball Tournament Semi-final and Final games currently scheduled to take place on March 12 and 13, 2011. The trip consists of: round-trip coach air transportation for two (2) people (the winner and guest) between the major U.S. airport nearest to winner’s home and a major airport in the Atlanta, GA area, which will be determined by Sponsor in its discretion; round-trip ground transportation for the winner and guest between the destination airport and the hotel; standard double occupancy hotel accommodations for the winner and guest for two (2) nights at a hotel selected by Sponsor (room rate and taxes only; size and type of room determined by Sponsor); tickets for the winner and guest to attend the Semi-final and Final Tournament games; tickets for the winner and guest to attend the Gameday Hospitality Center and access to SEC Fanfare, a fan interactive area. Should the winner live with a 100-mile radius of Atlanta, GA ground transportation will be provided in lieu of air transportation. The approximate retail value ("ARV") of the Grand Prize is $3,000. The exact value will depend on where the winner resides and market conditions at the time of prize fulfillment. Travel arrangements will be made through the travel coordinator designated by Sponsor. Trip is subject to air/hotel availability, holiday and blackout dates, and other conditions and restrictions apply. Grand Prize conditions may be added or modified by companies providing those portions of the Grand Prize. The Grand Prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which may be stated in the Affidavit of Eligibility/Release of Liability (as defined in Section 3) and/or Grand Prize travel documents. Sponsor shall not be liable for any loss or damage to baggage. Winner and his/her respective guest are solely responsible for obtaining all necessary and required travel documents (e.g., valid government-issued photo ID, etc.) and insurance. All airline tickets issued in conjunction with Grand Prize are not eligible for frequent flyer miles, and no code-share flights may be used. Grand Prize components cannot be used in conjunction with any other promotion or offer, and no portion may be separated except at Sponsor's sole discretion. Costs for room and tax are based solely on one (1) room, standard rate, double occupancy. Winner must have valid U.S. photo identification and a credit card in his/her name (unless the winner is a minor, then the credit card must be in the name of the winner’s parent or legal guardian, who is the prize winner’s guest on the trip. This trip prize package does not include taxes, insurance, meals, tips, telephone charges, personal expenses, gratuities, incidental charges, or any other items not specifically described in these Official Rules, and all expenses for any of the foregoing are the sole responsibility of the winner. One or more stopovers may be required for air transportation. Winner and his/her guest must travel together at the same time on the same itinerary. Air transportation and hotel accommodations must be taken together and cannot be taken separately. Once trip dates have been booked, no change, extension or substitution of trip dates is permitted, except at Sponsor's sole discretion. Winner and companion must confirm available travel dates and flight times selected by the Sponsor at least ten (10) days prior to travel date. No extension or change of trip dates permitted. Sponsor will not replace any lost or stolen tickets, travel vouchers, certificates or similar items once they are in winner's possession, or in the possession of winners’ guest. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. If any portion of the prize is unable to take place as planned, for any reason, including but not limited to, cancellation, scheduling conflicts or an event of force majeure, that portion of the prize will be forfeited, the remaining components of the prize will be awarded and Sponsor’s obligation to the winner will be fulfilled, and no other additional compensation will be provided. All travel must be completed by March 14, 2011 or prize will be forfeited in its entirety. (ARV: $3,000.00). First Prize: The First Prize is tickets for the winner and one (1) guest to attend the SEC Women’s Basketball tournament currently scheduled to take place on March, 2012 in Nashville, TN. The prize consists of two (2) tickets to attend each game in the tournament. The prize does not include transportation, housing, meals or any other services or items that may be required in connection with attendance at the games. The ARV of the First Prize is $180. The exact value will depend on market conditions at the time of prize fulfillment. General Prize Terms and Conditions: Game dates and locations are subject to change. All prize details will be determined by Sponsor in its discretion. If a winner is not available to travel on the dates specified by Sponsor, the prize will be forfeited and, time permitting, awarded to an alternate winner. The total ARV of all prizes is $3,180.00. All federal, state, local taxes on prize value, if applicable, are the sole responsibility of the winner. An IRS form 1099 will be issued in the winner’s name if required by law. The prizes will be awarded if properly claimed. No substitution, cash redemption or transfer of right to receive a prize is permitted, except in the discretion of Sponsor, which reserves the right to substitute a prize or prize component of equal or greater value. Sponsor is not responsible for any cancellation or postponement of any game or other prize event or activity. Prizes consist only of items expressly specified in these Official Rules. All expenses or costs associated with the acceptance or use of any prize or any component thereof that are not expressly listed in these Official Rules (including without limitation meals, incidentals, gratuities, trip insurance and additional transportation) are the responsibility of the winner. Winners and guests must comply with all venue, league and team rules and requirements. 4. GENERAL RULES: Sponsor is not responsible for late, lost, delayed, illegible, damaged, corrupted or incomplete entries, incorrect or inaccurate capture of, damage to, or loss of entries or entry information, or any other human or technical errors of any kind relating to the submission, collection, storage or processing of entries or the administration of the Sweepstakes. Sponsor is not responsible for interrupted or unavailable network server, internet access or other connections. Sponsor is not responsible for undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user's Internet service provider and/or e-mail client or for insufficient space in user's e-mail account to receive e-mail. Sponsor is not responsible for any liability for damage to any computer system resulting from participation in or accessing or downloading information in connection with this promotion. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process. Sponsor may prohibit any potential entrant from participating in the Sweepstakes or winning a prize if, in Sponsor’s sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception or other unfair playing practices or intends or is attempting to annoy, abuse, threaten or harass any other entrants or any representative of Sponsor. The use of automated devices, programs or methods to submit entries is prohibited and Sponsor reserves the right, in its sole discretion, to disqualify any entry that it believes may have been submitted using such an automated device, program or method. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend this Sweepstakes should a virus, bugs, entrant fraud or misconduct, or other causes beyond the control of the Sponsor corrupt the administration, integrity, security or proper operation of the Sweepstakes. In the event of termination of the Sweepstakes, a notice will be posted online and a random drawing to award the prizes will be conducted from among all eligible entries received prior to the time of termination. Entry times will be determined using Sponsor’s computer, which will be the official clock for the Sweepstakes and all entries mailed must be received by this time. All federal, state and local laws and regulations apply. By entering, each entrant releases and agrees to hold Sponsor, its affiliates, subsidiaries, distributors and agents, and each of their directors, officers, employees and assigns, harmless from and against any and all claims and liability arising out of participation in the sweepstakes or use of prize. Entrants assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Sweepstakes or use or redemption of any prize. Acceptance of prize constitutes permission for the Sponsor and its parent companies, affiliates, subsidiaries, agents and licensees to use winner's name and/or likeness for purposes of advertising and trade without further compensation, unless prohibited by law. All entries become the sole property of Sponsor and will not be verified or returned. By participating in this promotion, entrants agree to be bound by the Official Rules and the decisions of Sponsor and the judges, which are final and binding in all respects. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prize. In no event will more than the stated number of prizes be awarded. Sponsor makes no warranties other than those accompanying the products being awarded as the prize. By entering the Sweepstakes, entrants agree that (a) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys' fees; and (c) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim punitive, special, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrants and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of Texas without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of Texas. Any legal proceedings arising out of this Sweepstakes or relating to these Official Rules shall be instituted only in the federal or state courts located in the State of Texas, County of Dallas, and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these rules. 5.
