Official Rules and Regulations:

NO PURCHASE REQUIRED to enter, play or to win. YOU HAVE NOT YET WON! A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

Void where prohibited or restricted by law or regulation. Internet access and a valid email address are required to enter online. Free internet access is available at many public libraries, while free email addresses are typically available from google.com, yahoo.com or similar web sites. If you enter via cell phone your phone will need to be text messaging capable.

1) Eligibility: The Party-A-Day Giveaway Plus $10,000 Sweepstakes (the "Sweepstakes”) is open only to legal residents of the United States (excluding Puerto Rico, U.S. Virgin Islands and Guam) who are 18 years of age or older at the time of entry and who join the Party Club. Employees of Amscan Holdings, Inc. D/B/A Party City (the “Sponsor”), COHEN-FRIEDBERG ASSOCIATES, LLC (the “Administrator”), and all of their respective parents, subsidiaries, Franchisees, dealers, affiliates, directors, officers, shareholders, governors, employees, and agents, and collectively (the “Promotion Entities”), as well as their respective spouses, children, siblings, and all others residing in the same household as such employees, are not eligible to participate. The Promotion is subject to all federal, state, and local laws and regulations. Void where prohibited by law.

2) Agreement to Official Rules: By participating in this Promotion, each entrant agrees to abide by these Official Rules and the decisions of the Administrator, which are final and legally binding as they pertain to this promotion. All entries become the property of the Sponsor.

3) Timing: Promotion starts at 12:01 am Eastern Time (“ET”) on Wednesday, August 18, 2010 and ends 11:59 pm ET on Sunday, October 31, 2010 (the "Promotion Period"). The clock maintained by the Administrator in connection with the operation of the Sweepstakes at the promotion website (the “Website”) will be the official timekeeper for this Sweepstakes. Only one registration is necessary, but the sooner you register, the more chances to win. LIMIT: One registration per person over the Promotion Period. Multiple registrations by the same person will result in disqualification for any prize awards. LIMIT: One (1) daily prize per person or household address over the Promotion Period. Daily winners are also eligible for the final $10,000 drawing.

4) How to Enter: (Three ways to enter)
a) You may enter the Sweepstakes by joining the Party City Party Club (it’s free to join) and completing the online Official Entry Form found at www.partycity.com between 8/18/2010 and 10/31/2010. Registration will also include the following: name, complete address, city, state, zip, age, email address and telephone number. After you have submitted your registration, you will automatically be entered into all of the Sweepstakes drawings remaining (if any) plus the Grand Prize drawing. If you are an existing Party Club member you may enter by texting PartyCity 467467 or online by checking “Yes” I am already a Party Club member and wish to enter this Sweepstakes. Entries will be placed into the drawing period based on the date of entry receipt, as solely determined by the Website’s clock. All non-winning entries received for a given drawing period WILL be retained for remaining daily drawings (if any).

b) When checking out at participating Party City retail stores, join the Party Club by providing your email address and you will automatically be entered into all of the Sweepstakes drawings (if any remain) plus the $10,000 Grand Prize drawing. Entries will be placed into the drawing period based on the date of entry receipt, as solely determined by the Website’s clock. All non-winning entries received for a given drawing period WILL be retained for remaining daily drawings (if any).

c) Via cell phone, Text “PartyCity” to 467467 and opting in to either an email database by providing your email address or mobile phone number. You will automatically be entered into all of the Sweepstakes drawings remaining (if any) plus the Grand Prize drawing. Entries will be placed into the drawing period based on the date of entry receipt, as solely determined by the Website’s clock. All non-winning entries received for a given drawing period WILL be retained for remaining daily drawings (if any). Standard text messaging rates apply to each text message sent or received as provided in your wireless rate plan (Contact your carrier for pricing plans and details).

DRAWING SCHEDULE: There will be a total of seventy-five (75) winners in the Sweepstakes plus one (1) $10,000 Grand Prize winner. The first daily drawing will be conducted on August 19, 2010 with the last daily drawing plus Grand Prize drawing to be conducted on November 1, 2010. Daily drawings will be conducted Monday thru Thursday with the Friday, Saturday and Sunday drawings being conducted on the following Monday. Winning names will be posted once confirmed. Odds of winning depend on the total number of eligible entries received.

Prize Note: Each Party-A-Day prize will be awarded via a $100 Party City Gift Card redeemable at Party City retail store or online at PartyCity.com.

Drawings & Winner Selection: Random Sweepstakes drawings will be conducted from all valid entries received. The Sweepstakes drawing will be under the control of the Administrator whose decisions shall be final and legally binding as they pertain to this Sweepstakes. Any winning entrant that has entered via the retail store or text messaging formats will be required to reply to a winners notification with their full name and mailing address in order to receive their prize. Failure to reply within 48 hours of notification will cause that entry to become null and void and an alternate winner will be selected.

Grand Prize winner will be notified within 10 days of the drawing via phone, email, mail or express mail whichever is appropriate. Failure to reply to this prize winning notification within 10 days of notification to claim prize, will disqualify the entry and an alternative winner will be selected from all eligible entries received for the Sweepstakes.

All Party-A-Day winners will receive their prize via mail within 15 days of the final drawing or confirmation of a winner’s name and mailing address. Incomplete, illegible or entries made by automated programs will be automatically disqualified. No responsibility is assumed for lost, late, misdirected, damaged, altered or illegible entries. Any attempted form of entry other than as described herein is void. Administrator and or Sponsor will determine in its sole discretion what constitutes a valid entry. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

5) PRIZES: ONLY THE NUMBER OF PRIZES LISTED BELOW WILL BE AWARDED IN THIS PROMOTION.

One (1) Grand Prize: $10,000. Prize paid by check payable to the Grand Prize winner. Approximate retail value $10,000.

Seventy-Five (75) DAILY PRIZES (one per day): $100 Party City Gift Card. Approximate retail value $100 each. Gift Cards redeemable at participating Party City retail stores or online at www.PartyCity.com. Terms and conditions of the Gift Card apply.

Grand Prize Winner Notification: The Grand Prize winner will be required to complete and return an Affidavit of Eligibility and a Liability/Publicity Release form which must be signed by the Winner and received by Sponsor or its designated agent within ten (10) days of the date printed on the notification or otherwise an alternate winner will be selected from all remaining valid entries.

PLEASE NOTE: Prizes are not transferable by winner. No substitution of prize or cash equivalent is permitted except by Sponsor. Gift Cards must be redeemed on one (1) online order (no change). Winner will look to the manufacturer of each prize element for all warranties and guarantees (if any), and not to the Sponsor.

Total Approximate Retail Value of all prizes $17,500. Each winner shall be solely responsible for all federal, state and local taxes, and the reporting consequences thereof, and for any fees or costs associated with the applicable prize.

6) ALL POTENTIAL WINNING ENTRIES ARE SUBJECT TO VERIFICATION BY THE ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND LEGALLY BINDING. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY HAVE BEEN VERIFIED.

7) Potential Winners: All Potential winners must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. If a potential winner cannot be contacted, or if notices or prizes are returned as undeliverable, that prize will become null and void and will not be awarded. If any prize is not awarded during the Promotion Period or remains unclaimed, that prize will become null and void and will not be awarded.

8) Publicity: Except where prohibited, participation in the Promotion constitutes winner's consent to Sponsor's or agents use of winner's name, likeness, voice, opinions, biographical information, hometown and state for promotional purposes relating to the announcement of winners of the Promotion in any media without further payment or consideration.

9) General Conditions: Sponsor and/or Administrator may cancel or modify the Sweepstakes or these Official Rules if fraud, technical failures or any other factor beyond their control impairs the integrity of the Sweepstakes, as determined by Sponsor and the Administrator in their sole discretion. In such event, Sponsor may award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor and Administrator may, in their sole discretion, disqualify any individual they find to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Sponsor and/or Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10) Release: By entering entrant agrees to hold harmless and indemnify the Sponsor, Administrator, Promotion Entities, and their respective parents, subsidiaries, affiliates, dealers, directors, stock holders, officers, governors, employees and agents against any and all liability, damages or causes of action (however named or described), with respect to or arising out of either (i) entrant's participation; or (ii) the receipt or use of the prizes awarded in the promotion.

11) Limitations of Liability: Promotion Entities are not responsible for, and entrant hereby releases Sponsor, Administrator, and the Promotion Entities from any claims arising from: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry process or the Promotion; (iv) electronic or human error which may occur in the administration of the Promotion or the processing of entries; or (v) any injury or damage to persons or property, including but not limited to entrant's computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion.

12) Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the state of New Jersey; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) unless otherwise prohibited, under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion shall be governed by, and construed in accordance with, the laws of the state of New Jersey, without giving effect to any choice of law or conflict of law rules (whether of the state of New Jersey or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of New Jersey.

13) Participants Personal Information: By entering into this promotion, each entrant agrees to Sponsors’ and Promotion Entities’ use of his or her personal information as described in the website’s Privacy Policy of each (if any) and these official Rules. In the event of any discrepancy, these Official Rules shall control and govern. The personal information collected in this promotion may be shared with the Promotion Entities and other related parties participating in this promotion.

14) Winners List: For a list of prize winners and a copy of these Official Rules print this page or send a self-addressed, stamped envelope to “Party-A-Day Giveaway Plus $10,000 Sweepstakes”, PO Box 2001, Framingham, MA 01703-2001. Vermont residents may omit return postage. Requests must be received by 10/31/2010.
